Terms of Service.

These Terms govern your use of Loam. They cover what you can expect from us, what we expect from you, and — because Loam can act on real systems with credentials you provide — who is responsible for what. Please read them. Your privacy is covered separately.

1. Accepting these terms

These Terms are an agreement between you and Toast2IT LLC, a Florida limited liability company (Florida document L21000139665), which operates the Loam service (“Loam,” “we,” or “us”). By creating an account, installing the Loam extension, or using loam.team or our legacy domain docpro.cloud (together, the “Service”), you agree to these Terms of Service (“Terms”). If you're using Loam on behalf of an organization, you represent that you have authority to bind that organization, and “you” means that organization. If you don't agree, don't use the Service.

2. The service

Loam is an independent AI software-delivery system. Its named AI collaborators can plan, build, review, and hand back software and related work, maintain an account-scoped engineering record, and — at your direction — provision or act on supported cloud infrastructure. Loam is built on Anthropic's Claude and other AI providers and is not affiliated with Anthropic. We may add, change, or remove features over time.

3. Your account

  • You must provide accurate account information and keep it current.
  • You are responsible for activity under your account and for keeping your login and API keys secure.
  • Customer-facing access is scoped to the authenticated account. Authorized Loam administrators can access cross-account call logs and transcripts when needed to operate or support the Service. Organizational customer-admin access is not currently shipped.
  • You must be at least 16 years old to use the Service.

4. Acceptable use

You agree not to:

  • Use the Service for anything unlawful, or to build or operate anything unlawful, harmful, or that infringes others' rights;
  • Attempt to breach, probe, or circumvent the Service's security or per-account isolation, or access data that isn't yours;
  • Reverse-engineer, resell, or sublicense the Service except as the law expressly permits;
  • Overload or disrupt the Service, or use it to send spam or malware;
  • Use the Service to generate content that violates a third party's rights or an AI provider's usage policies.

We may suspend or terminate accounts that violate this section.

5. Credentials, infrastructure & costs

Loam can act on real systems — connecting to services like GitHub and, in Build Mode, provisioning and configuring cloud infrastructure. The current supported hosted model uses Loam-managed AWS and Cloudflare accounts. If a plan or order separately enables a customer-connected account, Loam acts with the credentials you provide and at your direction. Because of that:

  • Loam-managed infrastructure. Where infrastructure runs in Loam-managed accounts, Loam owns the underlying cloud accounts. Your applicable plan or order form governs included resources, usage limits, charges, teardown, and any export or transition rights.
  • Customer-connected accounts. Any cloud account, domain, third-party service, or credential you connect remains yours. You are responsible for charges, usage, and costs incurred on that connected account. Customer-connected cloud is available only when expressly enabled in your plan or order; general bring-your-own cloud is planned and is not available today.
  • You authorize the actions you direct. When you connect credentials or start a workflow that provisions or changes infrastructure, you authorize Loam to act with those credentials to carry out that work.
  • Review before you rely. Automated and autonomous work (including Build Mode and scheduled builds) moves fast. You are responsible for reviewing what it does before you depend on it in production. We recommend running a code review and watching sensitive changes land.
  • Customer-connected infrastructure remains your responsibility. To the fullest extent permitted by law, we are not responsible for charges, data loss, downtime, or damage arising from customer-connected infrastructure, actions taken with your credentials at your direction, or third-party services you connect. Loam-managed infrastructure remains subject to the fees, warranty, and liability terms below and to the applicable plan or order.

6. AI output & your review

Loam produces AI-generated output — code, documents, plans, and spoken responses. AI output can be incomplete, inaccurate, or unsuitable for your purpose. You are responsible for reviewing and testing any output before you use it, ship it, or rely on it. Loam is a tool that helps you build; it does not replace your judgment or professional advice.

7. Your content & ownership

Your input remains yours. You retain any rights you have in material you bring to the Service. You grant Loam a limited license to store, process, and transmit that material only as needed to operate the Service for you, including sending it to the providers listed in our Privacy Policy.

Generated output needs your review. To the extent permitted by law, Toast2IT LLC assigns to you any rights it may have in output generated specifically for you. AI output may not qualify for intellectual-property protection and may resemble material produced for others. You are responsible for reviewing it before use. We do not sell your content, use it for advertising, or use it to train Loam-owned models.

8. Third-party services

The Service relies on third-party providers (for example Anthropic, Google, Amazon Web Services, and the communications providers listed in our Privacy Policy), and can connect to services you choose. Your use of those services is governed by their own terms, and we're not responsible for them. If a provider changes or discontinues something we depend on, features may change accordingly.

9. Fees & billing

  • If you enter a paid plan or order, its price, billing cycle, renewal, and cancellation terms will be shown before you agree to it.
  • Claude Code uses the developer’s configured Anthropic account for supported editor workflows. Loam server-side model work uses a Loam-managed provider key during an active trial and for Loam administrative accounts; after the trial, the customer’s configured Anthropic key is required. Charges on a customer-controlled provider account are yours under Section 5.
  • Gemini image generation, when enabled, runs server-side using a Loam-managed provider key. Customers do not currently configure or pay for a Gemini key.
  • Except where required by law, fees are non-refundable. You can cancel at any time; access continues through the end of the paid period.
  • We may change pricing prospectively, with notice for renewals.

10. Disclaimer of warranties

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate or fit for your purpose. Some jurisdictions don't allow certain warranty exclusions, so parts of this section may not apply to you.

11. Limitation of liability

To the fullest extent permitted by law, Loam will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, or for cloud or infrastructure costs incurred on accounts you control.

Our total liability arising out of or relating to the Service and these Terms will not exceed the greater of (a) the amount you paid Loam in the twelve (12) months before the event giving rise to the claim, or (b) US $100. These limits apply regardless of the theory of liability and even if a remedy fails its essential purpose. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold Loam harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, the infrastructure or actions you direct with your credentials, or your violation of these Terms or of any law or third-party right.

13. Termination

You can stop using the Service and delete your account at any time (deletion is described in the Privacy Policy and Security page). We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. On termination, your right to use the Service ends; the sections that by their nature should survive (ownership, disclaimers, liability limits, indemnity, and governing law) survive.

14. Changes to these terms

We may update these Terms as the Service evolves. We'll change the “Last updated” date above and, for material changes, communicate them through the platform. Continuing to use the Service after changes take effect means you accept the updated Terms.

15. Governing law & disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You and Loam agree to the exclusive jurisdiction of the state and federal courts located in Florida for any dispute that isn't subject to informal resolution. Before filing anything, please contact us — most issues are faster to fix than to litigate.
